PalUp Monetization Policies

These PalUp Monetization Policies (“Policies”) apply to all users whose accounts meet the eligibility criteria for the PalUp Monetization Program (the “Program”). Eligible users may have access to monetization features on PalUp in accordance with these Policies. By using such monetization features, you agree to comply with these Policies, the PalUp User Terms of Service, and the PalUp Platform Guidelines. PalUp may amend, suspend, or discontinue the Program at any time in its sole discretion, including for business, financial, or legal reasons.

1. Program Eligibility and Review Standards

a. You must be at least 18 years old to be eligible for the Program.

b. Your account must meet the applicable entry criteria as determined by PalUp to qualify for the Program. The eligibility requirements for the Program can be found in our Help Center, and may change from time to time, including for any business, financial, or legal reasons.

c. Your account must be verified by linking it to at least one social media platform supported by PalUp. This is to prevent any potential copyright infringement and ensure that only verified accounts are allowed to generate revenue.

d. We want to reward creators who focus on fostering engagement with their followers by creating original AI Agents. All content in your account and AI Agent must be:

• Original and authentic;
• Free from unauthorized third-party content and compliant with applicable intellectual property laws;
• Compliant with the PalUp Platform Guidelines and the PalUp User Terms of Service.

e. Accounts and AI Agents will be reviewed to assess eligibility and compliance. Reviews may include, but are not limited to:

• Name;
• Visual appearance;
• Uploaded documents and links to websites or social media platforms.

f. PalUp reserves the right to examine any part of your account or AI Agent to verify compliance. PalUp reserves the right to reject your participation in the Program at its sole discretion, including for business, financial, or legal reasons.

g. We may impose additional limits based on anti-money laundering, sanctions or anti-fraud laws or policies, including, without limitation, we may block any transaction it determines to be, but not limited to, fraudulent or illegal activity or potentially fraudulent or illegal activity.

2. Creator Integrity

a. You must not misrepresent your identity or the nature of your AI Agents.

b. You must not engage in deceptive or manipulative conduct, including:

• Falsifying platform activity;
• Using monetization features for illegal, fraudulent, or abusive transactions.

c. Your participation in the Program must not violate any applicable laws, rules or regulations. You are solely responsible for any violation by you or your account of any applicable laws, rules or regulations.

3. Payment and Payout Terms

a. Creator revenue share payments are calculated based on eligible PalUp Plus subscriptions attributed to each creator under the Program. Only subscriptions to PalUp Plus made by users through the “Subscribe PalUp+” button in a creator’s exclusive chatroom will be counted toward that creator’s revenue share. Please see the Help Center for the most updated information on payout structure and eligibility requirements. All calculations of eligible subscriptions, revenue attribution, and payout amounts are determined solely by PalUp based on its internal data and systems. PalUp’s determinations regarding such calculations shall be final and binding.

b. PalUp uses a third-party payment processor (the “Payment Processor”) to facilitate all revenue share payments under this Program. You must be legally able to open and maintain an account with the Payment Processor; if account creation is not supported in your location, you are not eligible to receive payouts under the Program. 

c. To receive payments, you must create and maintain an account with the Payment Processor, which may require you to complete identity verification, provide necessary payment and tax information, and/or proof of residence. If you provide the Payment Processor with an address outside of your country of residence, you represent and warrant that you perform the services under these Policies outside of your country of residence.

d. From the date your first eligible earnings are generated under the Program, you must complete your Payment Processor account setup within the period specified by PalUp, as described in the Help Center. If you fail to do so within that period, your monetization status will be set to inactive, and all unclaimed or accrued earnings will be forfeited. While your monetization status remains inactive, no additional earnings will accrue or be calculated. Your eligibility to earn revenue under the Program will resume only after you have successfully completed the required Payment Processor setup.

e. Earnings accrue regularly and are eligible for withdrawal according to our payout schedule, which may be updated from time to time. Once you earn more than the minimum amount set forth in the Help Center, you are entitled to transfer the money from your Payment Processor account into your external bank account. Please also see the Help Center for the most updated information.

f. Once any payout has been transferred to your Payment Processor account, such payment is deemed completed and PalUp’s role in facilitating that payment shall be considered fully performed. Any issues, delays, or disputes related to the withdrawal or transfer of funds from your Payment Processor account are solely between you and the Payment Processor and are not the responsibility of PalUp.

g. You are solely responsible for ensuring the accuracy and validity of your Payment Processor account and all associated banking or payout details. PalUp shall not be liable for any payment delays, failures, or disputes arising from incorrect or incomplete account information provided by you, or from any issues between you and the Payment Processor.

h. If PalUp or the Payment Processor determines, at any time, that payments cannot be made to you for any reason, you may be disqualified from participating in the Program and forfeit any accrued but unpaid amounts.

i. Your share of the revenue from this Program is not transferable between PalUp accounts.

j. PalUp reserves the right, at its sole discretion, to determine the final amount, timing, and cadence of any profit-sharing or revenue share payouts to you, including for business, financial, or legal reasons. PalUp may modify the structure of payment calculations, revenue types, or eligibility requirements at any time. Please see the Help Center for the most updated information.

k. Payouts are subject to applicable processing requirements and may be subject to processing fees, as determined by PalUp or the Payment Processor.

l. By participating in the Program, you expressly authorize PalUp to access data about your Payment Processor account activity and transactions, and to conduct other activities necessary for the processing and monitoring of revenue share payments under these Policies.

4. Taxes and Withholding

a. You are responsible for paying applicable Taxes (as defined below), if any, due to taxing authorities arising from, or in connection with, your receipt of any payment of a share of the revenue earned by you.

b. PalUp may deduct or withhold any Taxes that it may be legally obligated to deduct or withhold from any amounts payable to you. Payment to you as reduced by such deductions or withholdings will constitute full payment and settlement of the amounts payable under these Policies.

c. You should provide PalUp with any tax documentation reasonably necessary to make or receive payments under these Policies.

d. As used above, “Taxes” means any income, stamp, sales, use, value-added or other taxes, duties, charges, fees, deductions or withholdings.

5. Subscription Cancellations and Refunds

a. In the event of any review concerning an eligible subscription, PalUp reserves the right to temporarily withhold any corresponding revenue share until the review is completed.

b. If any eligible subscription is refunded to a user under PalUp’s refund policies or for legal reasons, PalUp may deduct, offset, or claw back the relevant portion of your revenue share, whether or not such revenue has already been accrued, processed, or paid out.

c. When an AI Agent is set to private:

• the AI Agent will be hidden from the PalUp platform and will immediately become inaccessible to all users;
• The "Subscribe" button will be removed from the AI Agent's interface.

If you voluntarily set your AI Agent to private, you will continue to be eligible to withdraw accrued revenue share, as long as your account is otherwise in good standing and not subject to investigation or enforcement actions under these Policies.

6. Enforcement of Monetization Policies

If you violate these Policies, PalUp may take one or more of the following enforcement actions, depending on the severity or repeated nature of the violations:

a. Withholding or Adjusting Revenue Share

• PalUp may withhold, adjust, offset, or charge back any portion of your revenue share (including any amount that may have been attributable to or from past or future activity) related to the violation.
• Investigations may take up to 90 days, or until any third-party rights disputes have been resolved. During the investigation and review period related to any suspected violation, PalUp may suspend your ability to withdraw any revenue share until the investigation is complete and any disputes are resolved.
• PalUp will have no liability for taking any of the above actions. Payment to you as reduced by any such deductions, withholdings, or set-offs will constitute full payment and settlement of the amounts payable under these Policies.

b. Suspension from the Program

• PalUp may temporarily or permanently suspend your participation in the Program.
• Upon suspension, you may lose access to all monetization tools and features across your PalUp account, and you may also be temporarily or permanently restricted from withdrawing any accrued revenue share during the suspension period.

c. Account Suspension or Termination

• PalUp may suspend or permanently terminate your account to protect platform integrity or user safety.
• If your account is suspended or terminated, you will no longer be entitled to receive any revenue share.

If you believe enforcement action was taken in error, please contact our support team as indicated in Section 8 below.

7. You Are Not Our Employee

You acknowledge that your relationship with us is that of an independent user of our services. Nothing in these Policies or your participation in the Program creates or is intended to create an employment, agency, partnership, or joint venture relationship between you and PalUp. You remain solely responsible for your content, including its legality, how it is created, and whether or not you choose to make it available.
